Evernorth, a company built around accumulating XRP, won final shareholder approval for its merger with blank-check company Armada Acquisition Corp. II on Sept. 30. The parties expect the transaction to close Oct. 7, after which Evernorth's Class A common stock is slated to begin trading on the Nasdaq the following day under the ticker XRPN. The deal and associated financings have brought in over $1 billion of support, with the transaction itself projected to produce roughly $300 million in gross cash proceeds before expenses. That total includes $225 million from private placements, $30 million from convertible note financing and about $48 million of trust proceeds, per the company. Investors also committed XRP directly to the treasury, and Evernorth said it will hold about 473 million XRP at closing. The company describes that position as making it the "largest publicly traded pure-play" XRP treasury, and noted that all committed funders are participating in the transaction. Backed by Ripple and a group of crypto-focused investors and firms — including Pantera Capital, Kraken, SBI Group, GSR and Arrington Capital — Evernorth plans to grow XRP per share through yield strategies, participation in the XRP ecosystem and capital-markets activity. The firm framed the listing as offering a transparent, regulated route for investors to gain exposure to XRP.
